OPENWORKSPACE® FOR macOS

1. Overview & parties

This End-User License Agreement ("Agreement" or "EULA") is a legal agreement between you (either an individual or an entity, "User" or "you") and Open Workspace, LLC, an Illinois limited liability company ("Licensor," "we," "us," or "our"), for the use of OpenWorkspace® for macOS software, including any associated media, documentation, and updates ("Software").

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.

The Software is distributed directly by the Licensor and/or its authorized distributor through openworkspace.com.

2. License grant

Subject to the terms of this Agreement, the Licensor grants you a limited, revocable, non-exclusive, non-transferable license to:

• Install and use one copy of the Software on a single macOS device, or the number of devices authorized by your license.
• Make one backup copy of the Software for archival purposes only.
• Use the Software solely for lawful purposes.

3. Restrictions

You may not:

• Copy, distribute, or make the Software available to third parties except as expressly permitted.
• Modify, adapt, translate, or create derivative works based on the Software.
• Reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code of the Software, except as permitted by applicable law.
• Remove, alter, or obscure any proprietary notices, labels, or marks on the Software.
• Use the Software to develop, train, or benchmark competing products or services.
• Rent, lease, lend, sell, or sublicense the Software.

4. Ownership

The Software is licensed, not sold. The Licensor and its suppliers retain all right, title, and interest in and to the Software, including all intellectual property rights therein. All rights not expressly granted are reserved.

5. Updates & changes

The Software may automatically download and install updates from time to time. Such updates become part of the Software and are subject to this Agreement. The Licensor may modify, suspend, or discontinue any feature of the Software at its discretion.

6. Third-party components

The Software may include third-party libraries or components subject to their own license terms. A list of such components and their licenses is available at our Legal notices page.

7. Privacy & telemetry

Your use of the Software is subject to our Privacy policy. Analytics and telemetry data collection is opt-in where required by applicable law.

8. Warranty disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE. THE LICENSOR'S AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SOFTWARE IN THE SIX MONTHS PRECEDING THE CLAIM.

10. Term & termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession.

11. Transfer & assignment

You may permanently transfer your rights under this Agreement to another person, provided that: (a) you transfer all copies of the Software; (b) you retain no copies; and (c) the transferee agrees to be bound by this Agreement.

12. Export & sanctions compliance

You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce and sanctions programs administered by the U.S. Treasury Department.

13. Governing law & dispute resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

Any dispute arising out of this Agreement shall first be subject to a 30-day informal resolution period. If not resolved, disputes shall be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. You agree to waive any right to participate in class actions.

14. No affiliation

OpenWorkspace® is not affiliated with, endorsed by, sponsored by, or in any way officially connected with Apple Inc., Microsoft Corporation, OpenAI, or any of their subsidiaries or affiliates.

15. Distribution & App Store addendum

The Software is currently distributed directly through openworkspace.com. If you acquire the Software through the Apple App Store in the future, additional platform-specific terms may apply, and Apple shall be a third-party beneficiary of this Agreement.

16. Miscellaneous

This Agreement constitutes the entire agreement between you and the Licensor regarding the Software. If any provision is found unenforceable, the remaining provisions shall continue in effect. The Licensor reserves the right to conduct light-touch audits to verify license compliance.
